WHAT’S THE PROCESS?

The standard incorporation process is as follows:

Step 1 – when you are ready to set up your company please complete our ONLINE INCORPORATION FORM by providing your intended company name, choose your incorporation package, provide brief details of your company’s intended business activity and provide the name and address of each shareholder and director.

Step 2 – we will review your form, clarify any issues and provide our bank account details for your payment.

Step 3 – we will prepare your company incorporation documents for your signature within 3 hours of receipt of your payment. You can either visit our office to sign your company incorporation documents or we can email the documents to you for your signature and return to ourselves (please note you must return the original signed incorporation documents to ourselves as scanned copies of the signed documents and electronically signed documents are not accepted by the Companies Registry).

Step 4 – we will submit your signed incorporation documents to the Companies Registry and your company will be incorporated within 5 working days of submission.

 

IS THERE AN EXPRESS INCORPORATION SERVICE?

It is possible for us to incorporate your company within 24 hours by using the Hong Kong Government’s E-Registry Service however there is an additional cost of USD150 to use the E-Registry Service.

As a registered user of the E-Registry Service we will incorporate the company as the founder shareholder and transfer the founder share to yourself when the company is incorporated. You are not required to sign the incorporation documents to be submitted to the Companies Registry however you must sign the share transfer documents which will be sent to you by email and courier the original signed documents to ourselves to submit to the Hong Kong authorities no later than 7 days after the company is incorporated.

The benefit of using the E-Registry Service is your company will exist within 24 hours of making your payment enabling you to apply to open a bank account and commence your business activities faster than if setting up your company by using the standard incorporation process.

 

WHAT ABOUT OPENING A BANK ACCOUNT?

All of our incorporation packages include complimentary help with opening a bank account for your company. We work with a number of banks in Hong Kong and overseas and will be pleased to guide you on the choice of banks best suited to your company’s business activity.

There are 3 options to consider for your new company’s banking:

(1) Bank account in Hong Kong (apply online followed by a meeting with the bank in Hong Kong – accounts are usually opened within 4 weeks)

(2) FinTech account in Hong Kong (accounts opened online without any meeting – accounts are usually opened within 1 week)

(3) Bank account with an offshore bank (accounts opened online without any meeting – accounts are usually opened within 2 weeks)

OTHER IMPORTANT DETAILS

(1) We are required by Hong Kong’s Anti-Money Laundering regulations to verify the identity of our clients by obtaining copies of each shareholders and each directors passport and a copy of a utility bill or bank statement dated within the last 60 days showing their current residential address. 

(2) If you are living overseas it is possible to incorporate your company without visiting Hong Kong. If you intend to open a bank account in Hong Kong you will need to visit as Hong Kong’s banking regulations require all banks operating in Hong Kong to meet with any shareholder owning 10% or more of the shares of the company and all directors before opening business accounts. It is possible to open an account with a FinTech company in Hong Kong without visiting Hong Kong. It is also possible for Hong Kong companies to open accounts with some offshore banks without visiting the bank.

(3) Our incorporation packages require that we are appointed company secretary and provide the registered office address for your company. This is to ensure all government notifications are received by ourselves in our capacity as company secretary allowing us to take appropriate action in accordance with the deadlines given in the notification. 

(4) Our incorporation packages include a complimentary consultation to include advice on the choice of bank for your new company based upon the intended activity of your company. We will provide details of the account opening process and outline the information you will need to provide to the bank. We will provide a link to the banks website for you to complete your online account opening application which will require you to provide details of your company’s intended business activities, provide your personal details and details of your business experience, upload a copy of your passport and upload a copy of your new company registration documents. Our package fees do not include a review of your account opening application or your supporting documents prior to submission to the bank although this service can be provided for an additional charge. We cannot attend your meeting with the bank and we cannot communicate with the bank on your behalf as banks will only meet and liaise with the company owners and directors. The decision whether to open a bank account for your company is the banks commercial decision and cannot be influenced by ourselves. Whilst we will propose banks we believe will be interested to provide banking services to your company we can accept no responsibility or any claim for loss should any bank we introduce delay or decline to open an account.

(5) Our incorporation packages include one set of CPA certified true copies of the company registration documents (to include the Certificate of Incorporation, Business Registration Certificate, Articles of Association, Form NNC1, Company Particulars Search and the Directors Declaration) required by the banks in order to open a bank account.

(6) Our incorporation packages do not include any advice or assistance with completion of the banks FATCA and / or CRS documentation.

(7) Our incorporation packages include the incorporation of a company with up to two shareholders and up to two directors. If the company has more than two shareholders or more than two directors an additional fee of USD150 per each additional shareholder or director will be added to the first year package fee to cover the cost of preparing documents for the additional shareholder and director. If the shareholder of the new company is a company an additional fee of USD150 will be added to the first year package fee to cover the review of the corporate documents of the shareholder.

(8) Our incorporation packages do not include disbursements such as courier charges and postage. A refundable security deposit of USD150 will be held by ourselves to cover future disbursements or any fines that may be levied against your company. The deposit is refundable (net of any disbursements or fines) in the event our services are no longer required.

(9) Our incorporation packages include the preparation and filing of “Form NAR1 – Annual Return” due for filing at the Companies Registry 42 days after the anniversary of the incorporation date. This is subject to us being retained as the Company Secretary on the filing date.

(10) Our incorporation packages do not include accounting and tax filing services however these services can be provided for an additional fee which will reflect the number of transactions entered into by your company and whether the supporting records are complete and properly organised. We will quote our fee following a review of the company’s accounting records at the end of the accounting year. We can however provide an estimated fee if required based upon your company’s estimated number of transactions each year.

(11) Our services will commence upon receipt of full payment. Fees are non-refundable under any circumstance once the provision of service has commenced.

(12) The provision of services is governed by our standard Services Agreement. A copy is available on request.
