We provide a range of all inclusive company incorporation packages to help you quickly set up your company without leaving home…. or by attending a short meeting at our office if you prefer.

Our incorporation packages include everything you need to get your business started including free advice on setting up your company, all government fees, company secretarial and registered office services for the first year plus complimentary help with opening your bank account.

WHAT ARE THE REQUIREMENTS TO SET UP A COMPANY?

Hong Kong company law requires each company to have:

  • a share capital of at least HKD1…. there is no maximum amount.
  • a minimum of one shareholder.
  • a minimum of one director who can be the same individual as the shareholder.
  • a licensed company secretary who is responsible for maintaining the company’s statutory records, attending to filings at the Companies Registry and who will act as the company’s designated representative to maintain the Significant Controllers Register.
  • a registered office address in Hong Kong for receipt of government mail and notices.

Please note the shareholder and director can be any nationality and are not required to be resident in Hong Kong.

Please also note all of our incorporation packages include the provision of a licensed company secretary and a registered office address to ensure your company is compliant with the requirements.

 

WHAT’S THE PROCESS?

We offer a simple and hassle free incorporation process:

Step 1 – when you are ready to set up your company please take 5 minutes to complete our ONLINE INCORPORATION FORM . You will need to provide your intended company name, select which of our incorporation packages you will use, provide brief details of your company’s intended business activity and provide the name, passport details and home address of each shareholder and director.

Step 2 – we will check the availability of your company name, clarify any issues with you and provide our payment details…. payment can be made by bank transfer, credit card or PayPal.

Step 3 – we will prepare your company incorporation documents for your signature within 2 hours of receipt of your payment.

Step 4 – you can either visit our office to sign your company incorporation documents or we can email the documents to you for your signature and return to ourselves.

Step 5 – we will submit your original signed incorporation documents to the Companies Registry and your company will be incorporated within 5 working days of submission.

 

IS THERE AN EXPRESS INCORPORATION SERVICE?

It’s possible to incorporate your company within 24 hours by using the Hong Kong Government’s E-Registry Service however there is an additional charge of USD150 to use the E-Registry Service.

We will incorporate your company using the express incorporation process:

Step 1 – when you are ready to set up your company please take 5 minutes to complete our ONLINE INCORPORATION FORM . 

Step 2 – we will check the availability of your company name, clarify any issues with you and provide our payment details…. payment can be made by bank transfer, credit card or PayPal.

Step 3 – we will incorporate your company within 24 hours of receipt of your payment with 9,999 founder shares issued to yourself and 1 founder share issued to ourselves as the authorised E-Registry user (note – 10,000 shares is the minimum share capital when incorporating a company using the E-Registry service).

Step 4 – we will prepare the share transfer document to transfer the 1 founder share held by ourselves to yourself and will email the share transfer document to you for your signature and return to ourselves. Please note you must return the original signed share transfer document to ourselves as a scanned copy of the signed document or an electronically signed document are not accepted by the Hong Kong authorities.

Step 5 – we will submit your signed share transfer document to the Hong Kong authorities and the ownership of your company’s 1 founder share will be transferred to yourself.

The benefit of using the E-Registry Service is your company will exist within 24 hours of making your payment enabling you to apply to open a bank account and commence your business activities faster than if setting up your company by using the standard incorporation process.

 

WHAT ABOUT OPENING A BANK ACCOUNT?

All our incorporation packages include complimentary help to assist you to open a bank account for your company.

We will propose a choice of banks best suited to your company’s business activity, advise on the account opening requirements and provide certified true copies of your company registration documents which you will need to provide to the bank when applying to open an account.

There are 3 options to consider for your new company’s banking:

(1) Bank account in Hong Kong 

Hong Kong has a wide choice of local and international banks providing a full range of banking services.

Main points to note for account opening:

  • you will need to complete the banks online account opening application (we will provide a link to the banks website).
  • you will then need to attend an account opening meeting with the bank in Hong Kong for the bank to verify your identity…. but please note HSBC and DBS are currently providing remote identity verification / account opening on a case by case basis in response to COVID restrictions.
  • the minimum balance requirement varies from bank to bank but is usually in the range of HKD10,000 to HKD50,000.
  • accounts are usually opened within 4 weeks.

(2) FinTech account in Hong Kong 

All FinTech companies / electronic money institutions operating in Hong Kong are licensed by the Hong Kong authorities to provide online multi-currency business accounts.

FinTech accounts are increasingly used as an alternative to traditional bank accounts as the account opening is entirely online, accounts are fast to open and FinTech accounts are cheap to use in comparison to the banks.

Main points to note for account opening:

  • you will need to complete the FinTech company’s online account opening application.
  • the FinTech company will verify your identity by a video call…. no meeting is required.
  • the documentation required to open an account is simple in comparison to the documents required to open a bank account.
  • there is no minimum balance requirement.
  • accounts are usually opened within 1 week.

(3) Bank account with an offshore bank

An ideal banking solution for non-resident clients whose company is not conducting business in Hong Kong.

Main points to note for account opening:

  • you will need to complete the banks online account opening application.
  • the bank will verify your identity by a video call…. no meeting is required.
  • the minimum balance requirement varies from bank to bank but is usually in the range of USD50,000.
  • accounts are usually opened within 4 weeks.

Please note it is not possible for us to complete the online account opening application on behalf of your company as the bank or FinTech company will send a verification code to your mobile or a security link to your email as part of the application process. Please also note the timescales indicated above are from the date of submission of the account opening application which can only be done after your company has been incorporated as copies of your new company’s registration documents must be uploaded to the banks website when applying to open an account.

PACKAGE TERMS

(1) All our incorporation packages are provided on the basis that we are appointed company secretary and provide the registered office address for your company.

(2) Hong Kong’s Anti-Money Laundering regulations require us to verify the identity and residential address of each shareholder and each director of the new company prior to incorporating the company. To enable us to comply with this requirement each shareholder and each director must present their passport if they visit our office to incorporate the company or they must provide a selfie of themselves holding the photo page of their passport if the company is incorporated without visiting our office. We also require each shareholder and each director provide a copy of a utility bill or bank statement dated within the last 60 days showing their current residential address. 

(3) Our incorporation packages include a complimentary consultation to include advice on the choice of bank for your new company based upon the intended activity of your company. We will provide details of the account opening process and outline the information you will need to provide to the bank. We will provide a link to the banks website for you to complete your online account opening application which will require you to provide details of your company’s intended business activities, provide your personal details including details of your business experience, upload a copy of your passport and upload a copy of your new company registration documents. Our package fees do not include a review of your account opening application or your supporting documents prior to submission to the bank although this service can be provided for an additional charge. We cannot attend your meeting with the bank and we cannot communicate with the bank on your behalf as banks will only meet and liaise with the company owners and directors. The decision whether to open a bank account for your company is the banks commercial decision and cannot be influenced by ourselves. Whilst we will propose banks we believe will provide banking services to your company we can accept no responsibility or any claim for any loss should any bank we introduce delay or decline to open an account.

(4) Our incorporation packages include one set of CPA certified true copies of the company registration documents (to include the Certificate of Incorporation, Business Registration Certificate, Articles of Association, Form NNC1, Company Particulars Search and the Directors Declaration) required by the banks in order to open a bank account.

(5) Our incorporation packages include the incorporation of a company with up to two shareholders and up to two directors. If the company has more than two shareholders or more than two directors an additional fee of USD150 per each additional shareholder or director will be added to the first year package fee to cover the cost of preparing documents for the additional shareholder and director. If the shareholder of the new company is a company an additional fee of USD150 will be added to the first year package fee to cover the review of the corporate documents of the shareholder.

(6) Our incorporation packages include the preparation of the “Form NAR1 – Annual Return” due for filing at the Companies Registry no later than 42 days after the anniversary of the incorporation date. We will attend to the filing subject to us being retained as the Company Secretary on the anniversary of the incorporation date and there being no outstanding fees due to ourselves.

(7) Our incorporation packages do not include any advice or assistance with completion of FATCA and / or CRS documentation.

(8) Our incorporation packages do not include disbursements such as courier charges and postage. A refundable security deposit of USD150 will be held by ourselves to cover future disbursements or any fines that may be levied against your company. The deposit is refundable (net of any disbursements or fines) in the event our services are no longer required.

(9) Our incorporation packages do not include accounting and tax filing services however these services can be provided for an additional fee based upon the number of transactions entered into by your company and whether the supporting records are complete and properly organised. We will quote our fee following a review of your company’s accounting records at the end of the accounting year. We can also provide an estimated fee if you can provide an estimate of your company’s transactions each year.

(10) The renewal fees for the annual services provided in our incorporation packages are Company Secretarial Package – USD495 per year, Business Address Package – USD695 per year and Virtual Office Package – USD1,295 per year payable from the 2nd year. Our renewal fees exclude the Hong Kong Government business registration fee and disbursements such as courier charges, photocopying and filing fees.

(11) Our services will commence upon receipt of full payment in advance. Fees are non-refundable under any circumstance once the provision of service has commenced.

(12) The provision of services is governed by our standard Services Agreement. A copy is available on request.
