INCORPORATION REQUIREMENTS

Hong Kong company law requires each company to have:

a share capital of at least HKD1 (there is no maximum amount).
a minimum of one shareholder who can be an individual or a company.
a minimum of one director who can be the same individual as the shareholder.
a Hong Kong resident company secretary who is responsible for maintaining the company’s statutory records and attending to filings at the Companies Registry (this is included in all of our incorporation packages).
a Hong Kong registered office address for receipt of government mail and notices (this is included in all of our incorporation packages).
a Significant Controllers Register which must be kept at the registered office for inspection by the Hong Kong authorities and provides details of any individual with a 25% or more ownership interest in the company or any individual who can exercise control over the company (this is included in all of our incorporation packages).
a Hong Kong resident designated representative to maintain the Significant Controllers Register and to liaise with the Hong Kong authorities (this is included in all of our incorporation packages).

Please note the shareholder and director can be any nationality and they are not required to be resident in Hong Kong.

In order to incorporate a Hong Kong company you will need to

complete all sections of our online incorporation form.
provide a copy of each shareholders and each directors passport.
provide a copy of a utility bill or bank statement dated within the last 60 days showing each shareholders and each directors current residential address.

Further documents may be required dependent on the nature of business of the new company.
